Terms of Service

Welcome to BANDB LLC. These Terms of Service ("Terms") govern your access to and use of our website, products, and services (collectively, "Services"). Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By accessing or using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

BANDB LLC provides IT consultancy, web development, custom software development, e-commerce solutions, digital transformation, cloud solutions, AI solutions, and related services. The specific scope, deliverables, timelines, and pricing for each project will be outlined in a separate Statement of Work ("SOW") or service agreement entered into between BANDB LLC and the client.

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party.

4. Intellectual Property

Our Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of BANDB LLC and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of BANDB LLC.

Client Intellectual Property

Any materials, data, or content provided by the client to BANDB LLC for the purpose of providing Services shall remain the property of the client. Upon full payment, deliverables created specifically for the client under a SOW will be transferred to the client, subject to BANDB LLC retaining the right to use general knowledge, skills, and experience gained during the project.

Pre-existing Materials

BANDB LLC retains all rights to any pre-existing materials, tools, frameworks, or methodologies used in the provision of Services. The client receives a license to use such pre-existing materials solely as integrated into the deliverables.

5. Payment Terms

Payment terms will be specified in the applicable SOW or service agreement. Unless otherwise stated:

• Projects typically require a 30% deposit before work begins.
• Milestone payments may be required for larger projects.
• Final payment is due upon project completion and acceptance.
• Late payments may incur interest charges at 1.5% per month.
• All fees are exclusive of taxes, which are the client's responsibility.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives termination of the agreement for a period of five (5) years, or indefinitely for trade secrets.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall BANDB LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.

8. Indemnification

You agree to defend, indemnify, and hold harmless BANDB LLC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Services, or a breach of these Terms.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the courts located in Palm Beach County, Florida.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
